Code of Conduct

The Code of Conduct defines and identifies INSTALAZA’s standards of behaviour that must be respected by the people in its organisation and those who interact with it.

It contains the set of ethical principles and values that determine corporate conduct and must be observed by management, employees and those who directly or indirectly collaborate in its activities or participate in them.

INSTALAZA’S PRINCIPLES OF BUSINESS CONDUCT

COMPLIANCE WITH THE LAW

Always know and comply with the law applicable to your activity, both in Spain and in other countries in which INSTALAZA has business interests, placing special emphasis on avoiding corruption, fraud and other possible violations of the law.

In its relations with the Authorities and public representatives, social agents and third parties, whether national or foreign, act in a respectful and collaborative manner, without this implying a renunciation of promoting and defending the legitimate business interests of the company.

INTEGRITY AND OBJECTIVITY IN BUSINESS CONDUCT

Act objectively, avoid putting your own interests or those of third parties first, either to their advantage or to their detriment, by adopting decisions other than those that are in the best interests of the company.

When a conflict of interest arises, consult a hierarchical superior or the Compliance Officer, who will take into account the integrity of the person, the objectivity of the decision, as well as the impact on the company’s image.

Avoid offering or receiving gifts, gratuities or promotions that exceed a moderate or reasonable value within the industry norm. Refuse cash donations. Any donation or gratuity to be made by the Company requires the approval of the Chief Financial Officer. In your travel or representation expenses, please adhere to the reasonable economic value. If in doubt, ask for advice.

Do not use misleading, offensive or distasteful advertising. Avoid any activity that could damage the company’s image and reputation.

Refrain from making public statements that could damage the image and reputation of the company, its employees or managers. Use the company’s internal channels to express what you consider appropriate, agreements and disagreements, using the whistleblowing channel, at the e-mail address: canaldenuncias@instalaza.es, where appropriate. Avoid misleading or offensive advertising. Address the media to the Board of Directors, the Chief Executive Officer or their designee.

Discard any anti-competitive practice, even if you think it favours the interests of INSTALAZA. Pay attention to Spanish legislation and regulations on markets and customers in view of the specific nature of the products marketed by the company.

Do not unjustifiably impede or hinder the fulfilment of the company’s contracts. When proposing or selecting a supplier, do so with impartiality, objectivity and transparency, requesting the approval of the Head of Purchasing.

Reject any public or private corrupt practices, especially bribery.

Report any conduct that may involve money laundering, financing of terrorism, trafficking in persons and drugs or any other type of criminal act.

CONSIDERATION FOR PEOPLE, SOCIAL RESPONSIBILITY AND EQUALITY

Treat all persons with respect, do not use verbal or written actions or statements against any person or group of persons, whether or not they are present. Avoid any violent or aggressive behaviour, including threats, verbal aggression and moral or psychological violence.

Reject any kind of harassment in the work environment, especially if it is directed at particularly vulnerable people; provide non-discriminatory treatment to all regardless of race, religion, sex, nationality, ideology, trade union affiliation and other legally protected circumstances.

Contribute with your collaboration and proposals to facilitate the reconciliation of the personal, family and working life of people in INSTALAZA within the possibilities and needs that the company’s activity allows.

PROTECTION OF HEALTH AND SAFETY

Give the utmost importance to the protection of people’s physical integrity and health, be rigorous in the application of safety and risk prevention provisions and occupational health and hygiene rules. Use correctly and encourage the use of the personal protective equipment (PPE) indicated for each activity.

Do not use drugs, avoid alcohol abuse and the use of any other substance, including pharmaceutical drugs, which may affect your behaviour, harm your relationships and put your safety and that of your colleagues at risk.

SAFEKEEPING AND CORRECT USE OF INFORMATION

Respect the confidentiality of technical or commercial information to which you have access, whether internal to the company, its suppliers or customers. Treat with special reserve information classified as limited, confidential or reserved. Strictly use established guidelines and protocols for access and use of information. Do not use the information known to you outside its scope or for any purpose other than that for which it was intended, do not provide it to third parties under any circumstances and do not use it improperly to obtain a personal advantage. If you have or use a personal data file, you are obliged to follow the instructions in the security document, to be familiar with the legislation and to ensure that it is duly applied and complied with.

EFFICIENT MANAGEMENT

Perform your duties responsibly as the best contribution to maintaining jobs and obtaining an economic profit that allows the continuation of the production cycle, its eventual expansion, the continuous improvement of products and services, the necessary investments in research and the continued fulfilment of contracts and business commitments.

Make proper use of the resources that the company places at your disposal, avoid damaging, accelerating their expiry or ageing, reducing their performance or effectiveness for the purpose for which they are intended.

Comply with established safety and security protocols, inspections and maintenance.

Do not use the company’s resources for personal purposes or for purposes unrelated to your activity, unless you have authorisation, it is included in the internal rules, it arises from a contract or it is due to a legal imperative.

QUALITY AND CONTINUOUS IMPROVEMENT

Know and correctly apply the procedures that apply to your functions and job.

Diligently carry out the tasks entrusted to you so that INSTALAZA can continue to offer products and services that meet the needs and expectations of quality, punctuality and safety expected by its customers.

Assume the responsibilities assigned to you within the organisation without avoiding them and try to keep update the information and training that accredits you for your best performance.

Contribute with your experience, knowledge and ideas to the continuous improvement of the company’s production and commercial processes.

RESPECT FOR THE ENVIRONMENT

Adhere to policies and comply with established procedures to minimise environmental risks, especially with regard to waste disposal, handling of hazardous materials and prevention of spills and leaks.

Report environmental hazards that you identify, as well as any potential violations that you may detect.

CORRECT ACTION IN INTERNATIONAL MARKETS

Know and apply the regulations applicable to each import or export operation of INSTALAZA’s products and services, including the information, both in Spain and in the country of origin or destination.

Before proceeding, make sure that all the necessary permits and authorisations are in place and that the legally required information has been provided to the competent authorities.

In order to be able to carry out the international trade operation, find out about the anti-trust legislation of the states concerned, and verify that the requirements and demands contained therein are complied with.
